  • Advising a Nairobi-headquartered development finance institution on corporate governance reform, board charter drafting and restructuring of board committees in line with Capital Markets Authority guidelines.
  • Acting as lead counsel on a private equity investment into a Kenyan healthcare group, including structuring the preferred equity instrument, negotiating investor rights and drafting the shareholders agreement.
  • Advising the board of a publicly listed company on compliance with the Nairobi Securities Exchange Listing Rules and the Capital Markets Act, including related-party transaction approvals and continuous disclosure obligations.
  • Assisting a Kenyan microfinance bank with regulatory capital restructuring and negotiation of a subordinated debt facility with an international development institution.
  • Advising a regional telecommunications group on a secondary buyout of its Kenyan subsidiary, coordinating due diligence, SPA negotiation and CBK approval.
  • Acting for corporate clients on executive remuneration frameworks, director service agreements and board evaluation processes.
